Welcome to Bear ("Company," "we," "our," or "us"), operated by Bear Labs Inc. These Terms of Service ("Terms") govern your access to and use of the bear.flights website and any related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.


1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Bear provides technology infrastructure and related services for the aviation industry. The specific features and functionality of the Service may change from time to time at our sole discretion.

3. User Accounts

3.1 Registration

To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms.

5.1 Our Rights

The Service and its original content, features, and functionality are owned by Bear and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Your Content

You retain ownership of any content you submit through the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content solely for the purpose of operating and providing the Service.

6. Third-Party Services

The Service may integrate with or contain links to third-party services. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk.

7. Confidentiality

7.1 Definition of Confidential Information

"Confidential Information" means all information disclosed by or on behalf of Bear to you, or accessed by you through the Service, that you know or reasonably should know is confidential or proprietary information of Bear. Confidential Information includes, without limitation: carrier rate data, route and schedule data, pricing methodologies, traveler personally identifiable information, API specifications, algorithms, software codes and designs, technical data, trade secrets, know-how, product or service ideas or plans, business plans, financial data, partner relationships, customer lists, and any other data accessed through or generated by the Service (including any analyses, compilations, studies, or other derivatives thereof).

However, Confidential Information excludes any information that: (a) was publicly known before Bear's disclosure, or becomes publicly known through no violation of these Terms; (b) was already known by or in your possession at the time of disclosure without any obligation of confidentiality; (c) was obtained by you from a third party who was not known by you to be bound by confidentiality obligations; or (d) was independently developed by you without use of or reference to any of Bear's Confidential Information.

7.2 Non-Use and Non-Disclosure

You may only use Confidential Information for the purpose of using the Service as permitted under these Terms. You may not:

You must take reasonable measures to protect the secrecy of Confidential Information, using at least the same degree of care you use to protect your own confidential information of a similar nature. You will promptly notify Bear if you discover any misuse, misappropriation, or unauthorized disclosure of Confidential Information.

7.3 Permitted Disclosures

You may disclose Confidential Information that you are required to disclose by law or by a subpoena or order issued by a court of competent jurisdiction (each, a "Court Order"), but solely on the conditions that you give Bear prompt written notice of the Court Order and cooperate fully with Bear before disclosure to provide Bear with the opportunity to seek a protective order, confidential treatment, or other appropriate relief, provided that such notice and cooperation obligations would not be in violation of law or the Court Order.

7.4 Data Return and Deletion on Termination

Upon account termination or Bear's written request, you must promptly destroy or return all Confidential Information obtained through the Service, including all copies, within ten (10) days; provided that you may retain one copy for bona fide internal compliance purposes. Thereafter, you will not disclose or use Bear's Confidential Information for any purpose. Upon Bear's request, you will certify in writing the destruction of the Confidential Information.

7.5 No Rights Granted

Nothing in these Terms grants any license or rights under any patent, copyright, trade secret, or other intellectual property right of Bear, nor grants you any rights in or to Bear's Confidential Information other than the limited right to use such information solely through the Service. Access to data through the Service does not transfer ownership; all data remains the property of Bear or its licensors.

7.6 Survival of Confidentiality Obligations

The obligations in this Section 7 survive termination of your account and continue for a period of two (2) years from the date on which Confidential Information was last accessed through the Service, or longer for information that constitutes a trade secret under applicable law, which remains protected for so long as it qualifies as a trade secret.

7.7 Remedies

You acknowledge that any breach of this Section 7 would cause irreparable harm to Bear for which monetary damages would be inadequate. In addition to any other remedies available at law or in equity, Bear is entitled to seek specific performance and injunctive relief against any threatened or actual breach of this Section 7, without the necessity of proving actual damages or posting a bond.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding your personal information.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEAR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Bear and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Effective Date" above. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiations. If such negotiations fail, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and Bear regarding the Service and supersede all prior agreements and understandings.
